BY CLICKING “ACCEPT,” DOWNLOADING, INSTALLING, ACCESSING, OR USING TETRIX CE, YOU AGREE TO THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.
Licensor: Deskree Technologies Inc., and its Affiliates (including Deskree US Inc.). Product: Tetrix Community Edition (“Tetrix CE”). Contact: sales@deskree.com
1. Purpose and Scope
Tetrix CE is provided solely for single-user evaluation to help you assess Tetrix's capabilities (including knowledge-graph-backed system intelligence across code, services, infrastructure, observability, and runtime signals). Tetrix CE is not licensed for production use or multi-seat/team use.
2. Definitions
“Affiliate”
Means an entity that controls, is controlled by, or is under common control with a party.
“Documentation”
Means Deskree's user guides, readme files, and related materials for Tetrix CE.
“Evaluation Term”
Means the period permitted for evaluation, which is (a) the term stated in the Software, Documentation, or an accompanying order/approval, or (b) if not stated, a reasonable period determined by Deskree, which Deskree may end at any time upon notice.
“Output”
Means results generated by Tetrix CE (e.g., reports, answers with citations, analysis summaries, graph-derived results).
“Permitted User”
Means one natural person who is authorized by you to use Tetrix CE for evaluation.
“Source Systems”
Means third-party systems you connect (e.g., GitHub/GitLab, cloud providers, Kubernetes, OpenTelemetry/observability tools, CI/CD, and similar).
“User Content”
Means data you provide to Tetrix CE or make available via Source Systems, including code, metadata, logs, traces, alerts, runbooks, and configurations.
3. License Grant (Evaluation-Only)
Subject to your compliance with this Agreement, Deskree grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during the Evaluation Term to:
- install and use Tetrix CE only for internal evaluation by one Permitted User; and
- use the Documentation solely in connection with that evaluation.
All rights not expressly granted are reserved by Deskree.
4. Community Edition Limitations
Tetrix CE is a single-user evaluation edition. It may include core search/navigation capabilities (e.g., semantic search, symbol/code/doc search, tree navigation, and MCP components) but does not include certain enterprise-only features such as (examples):
- multi-seat use, team collaboration, and RBAC;
- Chapters, Events, and advanced research/blast-radius workflows;
- extended enterprise integrations/actions and workflow execution (e.g., Slack/Jira/Notion automations);
- full REST API / CRUD endpoints for key objects;
- on-prem/BYOC deployment support and enterprise security controls;
- autonomous “agent loop” capabilities (see Section 5.6).
Deskree may change CE feature availability at any time.
5. Restrictions (What You May Not Do)
You will not, and will not permit any third party to:
5.1 Reverse Engineering, Circumvention, and Tampering
- reverse engineer, decompile, disassemble, decode, or attempt to derive source code, underlying ideas, algorithms, or system design of the Software (except to the extent such restriction is prohibited by applicable law);
- circumvent, disable, remove, or tamper with license checks, telemetry, security controls, access controls, or technical limitations;
- remove, bypass, modify, or tamper with any coded or configured limits of Tetrix CE, including any limits on the number of repositories, organizations, projects, services, environments, data sources, connectors, indexed objects, queries, API calls, seats/users, or usage volumes;
- modify, translate, adapt, or create derivative works of the Software;
- remove or alter proprietary notices, labels, or branding.
5.2 Redistribution / Sharing / Multi-Seat
- copy, distribute, sell, rent, lease, sublicense, lend, publish, transfer, or otherwise make the Software available to any third party;
- allow more than one Permitted User to access or use Tetrix CE (including shared accounts/keys, shared environments, or internal “team” use);
- make Tetrix CE available on a shared network, hosted environment, or multi-user system where it can be used by anyone other than the Permitted User.
5.3 Hosting, Service Offering, or Embedding
- host, offer, or make Tetrix CE available as a service (including “as-a-service,” managed service, timesharing, service bureau, or SaaS);
- embed Tetrix CE (or any substantial portion of it) into another product or service, including internal platforms, developer portals, or agent frameworks, without Deskree's prior written approval;
- use Tetrix CE to provide services, deliverables, or outputs to third parties as part of a commercial offering (except incidental sharing of small excerpts of Output for evaluation discussions, as allowed in Section 6).
5.4 Competitive Use
- use Tetrix CE to develop, train, validate, or improve any product or service that competes with Deskree or Tetrix (including any system intelligence layer, production knowledge graph for software ecosystems, or similar);
- use Tetrix CE for competitive benchmarking or publish performance test results without Deskree's prior written consent (see Section 7).
5.5 No Security Testing (Without Permission)
- perform or commission any vulnerability scanning, penetration testing, fuzzing, reverse engineering for security purposes, denial-of-service testing, load testing intended to degrade service, or other security assessment of the Software (or any Deskree systems or services related to the Software) without Deskree's prior written authorization;
- publicly disclose any security issue or vulnerability related to the Software without first notifying Deskree at sales@deskree.com (or another address Deskree designates) and providing a reasonable opportunity to remediate.
5.6 No “Agent Loop” / Autonomous Operation (Community Edition)
Tetrix CE may provide APIs/CLI and context assembly intended for human-in-the-loop evaluation. You may not:
- use Tetrix CE as part of an autonomous or semi-autonomous agent loop that continuously plans, executes, or iterates tasks without meaningful human review/approval; or
- use Tetrix CE to trigger or execute workflows/actions in external systems (including ticketing, messaging, CI/CD, infra changes, or deployments).
Autonomous agent-loop capabilities and action execution, if offered, are Enterprise Edition features and require a separate agreement with Deskree.
5.7 High-Risk / Unlawful Use
- use the Software in violation of law, or in any manner that infringes or misappropriates intellectual property or privacy rights;
- use the Software for high-risk activities where failures could lead to death, bodily harm, or severe physical/environmental damage (e.g., nuclear facilities, air traffic control, emergency response) unless expressly authorized in writing by Deskree.
6. Output and Evaluation Use
Subject to this Agreement:
- You may use Output internally for evaluation and decision-making.
- You may share limited excerpts of Output externally only as reasonably necessary to evaluate Tetrix (e.g., sharing with internal stakeholders, consultants under confidentiality, or procurement/security reviewers), provided you do not disclose Deskree confidential information and you comply with Source System terms.
No rights are granted to redistribute Output as a dataset, to republish Output at scale, or to use Output to build competing products.
7. Benchmarking and Publicity
You may not publish or disclose to any third party any benchmark, performance test, penetration test results, or comparative analysis of Tetrix CE without Deskree's prior written consent.
You may not use Deskree's name, logos, or trademarks in press releases, marketing, or public statements without Deskree's prior written consent.
8. User Content, Source Systems, and Permissions
8.1 Your Responsibilities
You represent and warrant that:
- you have all rights and permissions necessary to connect Tetrix CE to Source Systems and provide User Content;
- your use of Source Systems with Tetrix CE complies with all applicable terms, policies, and laws; and
- you are responsible for configuring access controls, credentials, and permissions for Source Systems.
8.2 Source System Terms
Source Systems are third-party products. Deskree does not control them and is not responsible for their security, availability, or behavior. Your use of Source Systems is governed by your agreements with those providers.
9. Telemetry and Product Improvement
Tetrix CE may collect telemetry and diagnostic data (e.g., feature usage, performance metrics, error logs, and configuration metadata) to operate, secure, support, and improve the Software. Deskree will handle telemetry in accordance with its applicable privacy policy and security documentation, as applicable.
Tetrix CE may include mechanisms to detect license misuse, prohibited hosting, circumvention of technical limitations, or tampering.
10. Support; No SLA
Tetrix CE is provided “as is” and “as available.” Deskree is not obligated to provide support, maintenance, updates, or any service-level commitments for Tetrix CE. Any support provided is discretionary.
11. Intellectual Property; Feedback
11.1 Deskree IP
Deskree and its licensors own all right, title, and interest in and to the Software, Documentation, and all improvements, enhancements, and derivative works thereof, including all intellectual property rights.
11.2 Feedback
If you provide suggestions, ideas, or feedback, you grant Deskree a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without obligation.
12. Confidentiality
Tetrix CE, Documentation, and any non-public information about the Software (including features, performance, security architecture, roadmap, and pricing) are Deskree's confidential information. You will protect Deskree's confidential information using at least reasonable care and will not disclose it to third parties except as permitted under Section 6 or required by law.
13. Term and Termination
This Agreement begins upon acceptance or first use and continues through the Evaluation Term unless terminated earlier.
Deskree may terminate this Agreement immediately upon notice if:
- you breach any term (including Section 5 restrictions), or
- Deskree ends the Community evaluation program.
Upon termination or expiration:
- all licenses granted end immediately;
- you must stop using Tetrix CE and uninstall/delete all copies; and
- upon request, you will certify deletion in writing.
Sections that by their nature should survive will survive (including IP, confidentiality, disclaimers, limitation of liability, and governing law).
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. DESKREE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Deskree does not warrant that Tetrix CE will be uninterrupted, error-free, or that Output will be complete, accurate, or suitable for any production use.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- DESKREE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
- DESKREE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED USD $100 (OR THE MINIMUM AMOUNT PERMITTED BY LAW IF THIS CAP IS UNENFORCEABLE).
16. Indemnity (Optional)
You will defend, indemnify, and hold harmless Deskree and its Affiliates from and against any third-party claims arising from:
- your User Content or your connection to Source Systems,
- your misuse of the Software,
- your violation of law or third-party terms, or
- your breach of this Agreement.
17. Export Controls and Sanctions
You will comply with applicable export control and sanctions laws. You represent you are not located in, under control of, or a national/resident of any country subject to comprehensive sanctions, and you are not on any restricted-party list, unless authorized by law.
18. Government Rights (if applicable)
If you are a government entity or contracting on behalf of one, the Software is “commercial computer software” and is licensed only with the rights granted under this Agreement.
19. Assignment
You may not assign or transfer this Agreement or any rights hereunder without Deskree's prior written consent. Deskree may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.
20. Governing Law; Venue
This Agreement is governed by the laws of Ontario, Canada, excluding conflict of laws rules. Any dispute will be brought exclusively in the courts located in Ontario, Canada, and the parties consent to jurisdiction and venue there.
21. Entire Agreement; Changes
This Agreement is the entire agreement regarding Tetrix CE and supersedes prior discussions. Deskree may update this Agreement from time to time; continued use after an update constitutes acceptance of the updated Agreement.
